Terms & Conditions For Dealers

This Master Dealer Transport Agreement (“Agreement”) is entered into by and between:

Premium Auto Transportation LLC (“Broker”), a federally licensed property broker (USDOT & MC authority), and
the subscribing customer/dealer (“Customer”).

By subscribing to any plan, placing an order, or using Broker’s services, Customer agrees to the terms below.


1. Scope of Services

Broker agrees to arrange transportation of Customer’s vehicles through independently contracted, FMCSA-authorized motor carriers (“Carrier”).

Broker is not a motor carrier and does not transport vehicles directly.


2. Subscription-Based Brokerage Model

Customer agrees to enroll in a monthly subscription plan selected at checkout.

Each plan includes a defined number of vehicle dispatches per billing cycle:

  • Basic Plan: Up to 3 vehicles/month

  • Business Plan: Up to 8 vehicles/month

  • Premium Plan: Unlimited vehicles/month

Unused shipments do not roll over to the next billing cycle.

Additional vehicles beyond plan limits may incur additional brokerage fees as defined in the selected plan.


3. Payment Terms

  • Subscription fees are billed monthly via Stripe or approved payment processor.

  • Subscription fees are non-refundable once dispatch services have been initiated.

  • Customer agrees to pay the assigned Carrier directly for transportation services at pickup or delivery.

  • Broker is not responsible for Carrier payment collection or disputes arising from unpaid carrier balances.


4. Dispatch & Carrier Assignment

  • Broker will make commercially reasonable efforts to locate and assign a qualified Carrier.

  • Carrier selection is based on availability, pricing, route, and timing.

  • Estimated pickup and delivery dates are not guaranteed.


5. Independent Carrier Relationship

All Carriers are independent contractors.

Broker does not control or operate Carrier equipment, drivers, or routes and is not responsible for:

  • Delays

  • Mechanical issues

  • Accidents

  • Damage occurring during transit


6. Vehicle Condition & Bill of Lading (BOL)

Customer agrees:

  • To ensure accurate vehicle condition is recorded at pickup on the Bill of Lading (BOL).

  • To inspect the vehicle at delivery and note any damage on the BOL before signing.

Failure to document damage on the BOL may void any damage claims.


7. Insurance & Claims

  • Carriers are required to maintain cargo insurance as per FMCSA regulations.

  • All damage claims must be filed directly with the Carrier or their insurance provider.

  • Broker will assist in providing insurance details but is not liable for claims or claim outcomes.


8. Prohibited Items

Customer agrees not to ship:

  • Personal household goods

  • Illegal items

  • Hazardous materials

Broker and Carrier are not responsible for any personal items left in the vehicle.


9. Customer Responsibilities

Customer agrees to:

  • Provide accurate vehicle and contact information

  • Ensure vehicle is operable unless otherwise disclosed

  • Be available (or have a representative available) at pickup and delivery

  • Make timely payments to the Carrier


10. Subscription Use & Fair Usage Policy

Broker reserves the right to:

  • Refuse or delay service for non-standard, excessively difficult, or non-commercially viable shipments

  • Limit or review usage if Customer activity appears abusive or commercially unreasonable

This ensures fair service for all subscribers.


11. Cancellation & Termination

  • Customer may cancel subscription prior to the next billing cycle.

  • No refunds for partial billing periods.

  • Broker may terminate service for:

    • Non-payment

    • Abuse of service

    • Violation of agreement terms


12. Limitation of Liability

Broker shall not be liable for:

  • Vehicle damage

  • Delivery delays

  • Loss of use

  • Consequential or incidental damages

Broker’s role is strictly limited to arranging transportation services.


13. Indemnification

Customer agrees to indemnify and hold Broker harmless from any claims arising from:

  • Inaccurate shipment information

  • Unauthorized vehicle shipment

  • Violation of applicable laws


14. Governing Law

This Agreement shall be governed by the laws of the State of Texas.


15. Electronic Acceptance

By subscribing, checking the acceptance box, or using Broker services, Customer:

  • Agrees to this Agreement

  • Acknowledges it is legally binding

  • Waives the need for a physical signature
